An Agency Agreement, also known as a Sale Agency Contract, allows one party (the Agent) to sell products (goods or services) on behalf of another (the Principal) in return for commission payments.
This Agency Agreement shall be used where the Agent finds customers for the Principal and directly sells the Principal's products to the customers.
This template allows you to decide whether the Agent is appointed as an Exclusive or Non-exclusive Agent for the particular territory. It provides for the principal to retain title of the goods until they are delivered and paid for, also it clearly sets out the responsibilities of both the Agent and the Principal.
This Agency Agreement contains a clause where the agent is a del credere agent, meaning that the agent does guarantee to his principal the solvency of the purchaser, and will pay the debt of the customer himself if it is not discharged. Please note that this clause can always be removed if it does not suit your circumstances.
This Agency Agreement complies with the Commercial Agents (Council Directive) Regulations 1993.
